This End User License Agreement ("EULA") is a contract between you (or the organization you represent, "you") and Siklab Core ("we", "us") for the LASDK software, including its binaries, engine, skills, agents, workflows, recipes, and documentation (the "Software"). By installing, accessing, or using the Software, you agree to this EULA. If you do not agree, do not use the Software.
Subject to this EULA and your payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software internally, for your own software-development purposes, for the number of seats your license authorizes. The free Community edition is licensed at no charge under this same EULA to a single individual (one seat), for personal, solo, or evaluation use, and limited to its stated capabilities. Community may not be used by a team or organization for shared or collaborative development, and its seat may not be pooled, shared, or rotated among people. A team, company, or other organization using LASDK for collaborative or commercial software development — anyone beyond a single individual — needs a Team (or higher) license, one seat per person.
A "seat" authorizes one individual user. You may not exceed the seat count your license authorizes, and you may not share, pool, or rotate seats to give more individuals access than you have paid for. Seats are resolved from your signed license.
You may not, except to the extent applicable law expressly permits despite this restriction: (a) copy, distribute, sublicense, rent, lease, lend, or sell the Software, or make it available to anyone outside your licensed organization; (b) use the Software beyond your licensed seats or circumvent, disable, or tamper with the license or entitlement mechanism; (c) reverse engineer, decompile, or disassemble the compiled binaries, or extract, harvest, scrape, or copy the Software's content assets — its workflows, prompts, agent and skill definitions, role bundles, templates, recipes, and schemas, and the methodology they embody — whether delivered as compiled code or as data or text files, for any purpose outside your licensed internal use (this does not restrict the code, documents, or other output the Software helps *you* produce, which are yours); (d) remove or alter any proprietary notice; or (e) use the Software or its content assets to build, train, or improve a competing product or any machine-learning model.
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in the Software. No rights are granted except those expressly stated here. The Software includes third-party open-source components under their own licenses (see the THIRD-PARTY-NOTICES file distributed with the Software).
LASDK governs an AI-assisted software-delivery process and produces evidence about completion claims. It does not guarantee that any code, review, or AI-generated output is correct, complete, secure, or fit for your purpose. You are responsible for reviewing and testing anything you ship.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.
This EULA applies for as long as you use the Software. It terminates automatically if you breach it (including any seat or redistribution violation). On termination, you must stop using and delete the paid Software; paid entitlements revert to the free Community edition. Sections 3–10 survive termination.
This EULA is governed by the laws of the Philippines, without regard to conflict-of-law rules, and is subject to the same dispute-resolution terms as our Terms of Service.
